Acceptance of these Terms
By accessing our website or engaging our services, you agree to these Terms and Conditions (“Terms”). If you do not agree, please do not use our website or services.
Services We Provide
Keehive Solutions Inc. provides professional services, including but not limited to:
Web Development
Software Development
Digital Marketing
Call Center Services (Email Support and Call Support)
Specific deliverables, timelines, pricing, and responsibilities are defined in a written agreement such as a proposal, quotation, Statement of Work (SOW), service agreement, and/or master service agreement (collectively, the “Service Agreement”).
Payments
Our website is not an e-commerce platform and does not sell physical goods through an online shopping cart. Payments are collected for services through invoice-based billing and online payment links.
Quotation, Proposal, and Contract Process
Our typical engagement flow is:
Client inquiry and requirements gathering
Quotation/Proposal: We send a quote/proposal describing scope, pricing, and timelines
Client approval of the quotation/proposal (may include revisions)
Service Agreement/SOW execution (and NDA when required)
Invoice issuance (down payment, milestone, or recurring)
Online payment via invoice payment link
Service delivery according to the Service Agreement
Late or Failed Payments
If an invoice is not paid by the due date, we may (subject to the Service Agreement):
Pause work or suspend services until payment is received
Adjust delivery timelines
Charge late fees if stated in the Service Agreement or invoice
Terminate services for non-payment in accordance with the Service Agreement
Changes in Scope (Change Requests)
Work outside the agreed scope requires a written change request. Additional fees and timeline adjustments may apply.
Client Responsibilities
Clients agree to provide timely and accurate:
Content, branding assets, and required approvals
Access to systems, hosting, domains, tools, or accounts
Points of contact and decision makers
Delays in client inputs may affect delivery schedules and may incur additional costs.
Confidentiality and NDAs
Where applicable, services are protected by confidentiality obligations and/or NDAs. Both parties must safeguard confidential information and use it only for the agreed purposes.
Intellectual Property
Unless otherwise stated in the Service Agreement:
Keehive retains ownership of pre-existing materials, templates, frameworks, processes, and tools.
Upon full payment, the client receives rights to the deliverables as specified in the Service Agreement.
Third-party components (plugins, themes, libraries) remain subject to their respective licenses.
Third-Party Services
Projects may rely on third-party providers (hosting, domains, APIs, payment processors, marketing platforms). Keehive is not responsible for outages, changes, or limitations from third parties. Third-party fees are typically billed separately unless explicitly included.
Disclaimers
Services are provided on a reasonable-effort basis. Except as expressly stated in the Service Agreement, Keehive disclaims all warranties to the fullest extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, Keehive will not be liable for indirect, incidental, special, consequential, or punitive damages. Keehive’s total liability for any claim related to the services will not exceed the total fees paid to Keehive under the applicable Service Agreement in the [3/6/12] months preceding the event giving rise to the claim.
Termination
Termination and cancellation terms are governed by the Service Agreement. If not specified, either party may terminate with written notice, and the client remains responsible for fees for work completed and any non-cancellable costs incurred.
Governing Law
These Terms are governed by the laws of [Philippines], without regard to conflict of laws principles.
Updates to These Terms
We may update these Terms from time to time. The “Effective Date” will reflect the latest revision.
